This Agreement is entered into between you, the user, hereinafter referred to as "User," and Rayna, Inc., hereinafter referred to as "Rayna." By accessing or utilizing the services provided by Rayna through the website located at rayna.ai, hereinafter referred to as the "Website," you agree to be legally bound by the terms and conditions set forth herein, collectively referred to as the "Terms." If you are unwilling to be bound by these Terms, you shall not access or utilize the Website or any affiliated services.
Rayna furnishes an artificial intelligence-driven meeting scheduling assistant designed to enhance workflow and productivity for its Users ("Services"). Access to and use of the Services is subject to compliance with these Terms.
User must register and create an individual account to access certain functionalities of the Services. User agrees to provide truthful, accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
User is solely responsible for maintaining the confidentiality of account credentials and for all activities that occur under User’s account. User agrees to immediately notify Rayna of any unauthorized use of their account or any other security breach.
Rayna reserves the right, at its discretion, to modify or replace these Terms at any time. Such modifications shall be effective immediately upon posting unless otherwise specified by Rayna. Continued use of the Services following the posting of any changes to the Terms constitutes acceptance of those changes.
User agrees to abide by all applicable local, state, national, and international laws and regulations with respect to the Services. User must not use the Services for any unlawful or unauthorized purposes. Rayna reserves the right to terminate access for any User who does not comply with these Terms.
Rayna may terminate or suspend User’s account and bar access to the Services immediately, without prior notice or liability, under Rayna's sole discretion, for any reason whatsoever, including, without limitation, a breach of the Terms.
The Services are provided on an "as is" and "as available" basis. Rayna expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Rayna shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from the use of or inability to use the Services, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, even if Rayna has been advised of the possibility of such damages.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in force.
These Terms constitute the entire agreement between User and Rayna regarding the use of the Services and supersede all prior agreements and understandings, whether written or oral, concerning such subject matter.
